Copperheads Terms of Use

Welcome to Copperheads (“Platform”, “we”, “us”, “our”) owned and operated by Tanay’s Laboratory of Copper Private Limited. These Terms of Use (“Terms”) govern your access to and use of the Platform and its services. By accessing or using the Platform, you agree to be bound by these Terms.

1. Platform Services

The Platform provides an online interface that enables users to upload PCB design information, obtain pricing, and place orders for manufacturing services through third-party manufacturing partners. The Platform functions as an intermediary facilitating order processing and coordination.

2. Eligibility & User Responsibilities

By using the Platform, you represent that:
• You are legally capable of entering into binding agreements
• Information provided by you is accurate and complete
• You will use the Platform in compliance with applicable laws

You are responsible for:
• The accuracy of uploaded files and specifications
• Ensuring you have the necessary rights to submitted materials
• Maintaining the confidentiality of your account credentials

3. Orders & Pricing

Prices displayed on the Platform are generated through automated systems based on submitted information. Orders, cancellations, refunds, and related matters are governed by our applicable policies. Please refer to our Sales and Refunds Policy for further details.

4. Manufacturing & Fulfilment

Manufacturing services are performed by independent third-party partners. While we facilitate coordination and order processing, we do not independently manufacture products. Delivery timelines are estimates unless otherwise specified.

5. Manufacturing Disclaimer & Production Variability

Products ordered through the Platform are manufactured by independent third-party manufacturing partners using standard industrial processes. Due to the nature of electronic manufacturing, variations may occur, including but not limited to:
• Minor dimensional tolerances
• Cosmetic or surface irregularities
• Variations in colour, finish, or markings
• Manufacturing yield differences
• Performance variations within accepted tolerances

Such variations do not necessarily constitute defects or non-conformance. Unless expressly agreed otherwise, products are considered acceptable where they conform to generally accepted manufacturing tolerances and functional specifications. Customers are responsible for specifying any critical tolerances or requirements necessary for their intended application.

6. Customer Designs & Content

Users retain ownership of designs and submitted materials. By uploading content, you grant us a limited licence to process, analyse, and share necessary information for the purpose of providing services on the Platform.

The handling of design files and related technical information is further described in our Design Confidentiality Policy. Users are responsible for ensuring that submitted materials do not infringe third-party rights.

7. Platform Intellectual Property

All Platform content, software, interfaces, branding, and related materials are owned by or licensed to us. Users may not reproduce, modify, distribute, or commercially exploit Platform materials without permission.

8. Prohibited Use

Users agree not to:
• Use the Platform for unlawful purposes
• Interfere with Platform operations
• Upload malicious code or harmful content
• Attempt unauthorised access

9. Disclaimers

The Platform is provided on an “as available” basis. We do not guarantee:
• Continuous availability
• Error-free operation
• Suitability for specific purposes

10. Limitation of Liability

To the extent permitted by law, we shall not be liable for:
• Indirect or consequential losses
• Loss of profits, revenue, or data
• Issues arising from third-party manufacturing services

Our total liability, where applicable, shall not exceed amounts paid for the relevant order.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising from:
• Breach of these Terms
• Violation of laws
• Infringement of third-party rights

12. Termination

We reserve the right to suspend or terminate access where reasonably necessary, including for violations of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts of Bengaluru, Karnataka.
